By accessing or using LinkedProcurement ("LP", "Platform", "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our Platform.

2. Eligibility

You must meet the following requirements to use our Platform:

• Be at least 18 years of age
• Represent a legitimate business entity
• Have the authority to bind your organization to these terms
• Not be located in a prohibited jurisdiction
• Not have previously been banned from the Platform

3. Account Registration

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account
• Verify your business credentials and LinkedIn profile when required

4. Platform Services

For Buyers:

• Post RFQs (Requests for Quotes)
• Search and browse verified suppliers
• Communicate with supplier points of contact
• Manage procurement processes
• Access supplier analytics and ratings

For Suppliers:

• Browse and respond to RFQs
• Showcase capabilities and certifications
• Connect with potential buyers
• Manage quotes and proposals
• Build verified business profiles

5. User Conduct

You agree NOT to:

• Post false, misleading, or fraudulent information
• Impersonate another person or entity
• Engage in spam, phishing, or unsolicited communications
• Upload malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Platform
• Scrape, harvest, or collect user data without permission
• Violate any applicable laws or regulations
• Interfere with Platform operations or other users
• Use the Platform for illegal or unauthorized purposes

6. Content and Intellectual Property

Your Content:

You retain ownership of content you post. By posting content, you grant LP a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content for Platform operations.

Our Content:

The Platform, including design, code, logos, and trademarks, is owned by LP and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.

7. Business Transactions

LP facilitates connections between buyers and suppliers but is not a party to any transactions. You are responsible for:

• Conducting your own due diligence
• Negotiating terms and contracts
• Fulfilling your business obligations
• Resolving disputes directly with other parties
• Complying with all applicable trade laws and regulations

8. Fees and Payment

LP may charge fees for premium features or services. Any applicable fees will be clearly disclosed before you incur charges. You agree to pay all fees according to the pricing and payment terms provided.

9. Data Security and Privacy

We implement industry-standard security measures including:

• Encryption of data in transit and at rest
• Regular security audits and monitoring
• Access controls and authentication
• Audit logging of sensitive operations

10. Disclaimers and Limitations

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

LP disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee:

• Accuracy or reliability of user content
• Uninterrupted or error-free service
• Results or outcomes from using the Platform
• Quality or legitimacy of business relationships formed

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LP SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from user content or third-party actions
• Business disputes or failed transactions between users

Our total liability shall not exceed the fees you paid to LP in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless LP from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Content you post or business dealings you conduct

13. Account Termination

LP may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended inactivity
• Any reason at our sole discretion

You may terminate your account at any time through account settings. Upon termination, your right to use the Platform ceases immediately.

14. Dispute Resolution

Any disputes shall be resolved through:

• Good faith negotiation between parties
• Binding arbitration if negotiation fails

You waive the right to participate in class-action lawsuits.

15. Changes to Terms
